Key Agenda Items for the Fortieth AGM
The upcoming AGM will address several critical business matters, providing shareholders with an opportunity to review the company’s performance and future direction:
- To receive and consider the Audited Financial Statements for the year ended 31st March 2026, along with the Annual Report of the Board of Directors and the Auditors thereon.
- To declare a First and Final Dividend of Rs. 1.25 per share for the financial year ended 31st March 2026, as recommended by the Board.
- To re-elect Mr. D.S. Weerakkody, who retires by rotation in terms of Article No. 86 of the Articles of Association.
- To re-elect Mr. Sriyan J. de Silva Wijeyeratne, who retires in terms of Article 92 of the Articles of Association.
- To consider and, if thought fit, pass an Ordinary Resolution pertaining to the re-appointment of Dr. J.M. Swaminathan as a Director, who is over 70 years of age, in compliance with Section 211 of the Companies Act No. 7 of 2007.
- To authorize the Board of Directors to determine the remuneration of the Auditors, Messrs KPMG, Chartered Accountants, who are deemed to have been reappointed.
- To authorize the Board of Directors to determine contributions to charities.
Proxy Appointment for Shareholders
Shareholders who are unable to attend the virtual AGM are entitled to appoint a proxy to attend, speak, and vote on their behalf. A ‘Form of Proxy’ (Annexure 1) is enclosed with the AGM circular. The completed Form of Proxy must be deposited at the Registered Office of the company, 1st Floor, Lakshman’s Building, No. 321, Galle Road, Colombo 3, not later than 48 hours before the time appointed for the meeting. It is important to note that the appointed proxy need not be a shareholder of Lanka Aluminium Industries PLC.
