The announcement, released via a supplementary notice to shareholders on August 28, 2026, outlines the comprehensive guidelines for shareholder registration and participation in the online event scheduled for September 25, 2026.

The decision to conduct the AGM through audio/visual means via an online platform aligns with the guidelines issued by the Colombo Stock Exchange (CSE) for hosting virtual shareholder meetings. This approach ensures continuity of corporate governance while prioritizing the safety and convenience of shareholders.

Key Details for Virtual Participation

Mercantile Investments and Finance PLC has issued clear instructions to ensure a smooth and accessible virtual AGM experience for all eligible shareholders. The company emphasizes that only key officials essential for the administration of the meeting formalities will be physically present at a designated venue, with all registered shareholders and proxy holders expected to participate online.

Registration is Mandatory

  • Shareholders intending to participate virtually must forward a duly perfected Registration Form (Annexure 1). This form is enclosed with the Notice of Meeting and Form of Proxy.
  • Completed registration forms can be sent to Mercantile Investments and Finance PLC, Secretaries, 236, Galle Road, Colombo 3, or via email to mercantile@mi.com.lk.
  • The deadline for registration is crucial: forms must be submitted at least 48 hours before the time fixed for the meeting on September 25, 2026.

Accessing the Virtual Meeting

Upon verification of registration details, shareholders will receive log-in information in advance of the meeting. The company strongly recommends that shareholders and proxy holders join the AGM at least 15 minutes prior to its scheduled start. The digital platform will be active 30 minutes before the commencement of the AGM to facilitate early access and technical checks. MI also stated it will not be responsible or liable for any misuse or unauthorized use of log-in information.

Shareholder Engagement and Voting

The virtual platform will facilitate active shareholder participation:

  • Questions and Comments: Shareholders will have the opportunity to raise questions or offer comments on the agenda items during the meeting. Alternatively, questions can be forwarded in advance to mercantile@mi.com.lk.
  • Online Voting: Voting on all items listed on the Agenda will be registered using the online platform. Shareholders and proxy holders will receive a briefing on the voting procedure prior to the commencement of the AGM.

Mercantile Investments and Finance PLC has assured shareholders that the AGM will be conducted in full compliance with the principles set out in the CSE’s guidelines for virtual Annual General Meetings. The company also stated that any further actions, communications, or directives from the Government of Sri Lanka concerning the meeting will be communicated via an announcement to the Colombo Stock Exchange and/or publication on the company’s official website, www.mi.com.lk.
