The meeting will be conducted virtually via audio-visual technology, with the company’s registered office at Level 4, Access Tower, No. 278, Union Place, Colombo 02 serving as the physical base.

The notice, issued on August 28th, 2026, outlines a comprehensive agenda focusing on the company’s financial performance and crucial directorial decisions for the upcoming year.

Key Resolutions on the Agenda

Shareholders of Vidullanka PLC will deliberate on several significant matters, including:

  • Financial Statements Review: The primary resolution involves considering and adopting the Audited Financial Statements for the financial year ended March 31st, 2026, alongside the Annual Report of the Directors. This provides shareholders with an overview of the company’s performance and strategic direction.
  • Re-election of Directors by Rotation: In accordance with Article 20.5 of the Articles of Association, Ms. Deepthie Wickramasuriya and Mr. Sujendra Mather will be put forth for re-election.
  • Re-appointment of Directors Over 70: A notable aspect of the agenda involves the re-appointment of three seasoned directors, Mr. Osman Kassim, Mr. Ranjan Mather, and Mr. Rizvi Zaheed. Each, being over 70 years of age, will be proposed for re-appointment under Section 211 of the Companies Act No. 07 of 2007. The resolutions specifically declare that the age limit referred to in Section 210 of the Companies Act shall not apply to these individuals, acknowledging their continued eligibility and contribution to the board.
  • Independent Director Classification: Furthermore, Mr. Rizvi Zaheed’s role as a Director will be specifically addressed. Pursuant to Section 211 of the Companies Act and Section 9.8.3 of the Listing Rules of the Colombo Stock Exchange (CSE), it is proposed that he continue to hold office and be classified as an Independent Director, notwithstanding the provisions of Section 210 of the Companies Act.
  • Auditor Re-appointment: M/s Ernst & Young, Chartered Accountants, are proposed for re-appointment as the company’s auditors for the ensuing financial year, with authorization sought for the Directors to determine their remuneration.
  • Charitable Contributions: Directors will also seek authorization to determine contributions to charities for the financial year 2026/2027.

Participation and Registration Details

As the AGM will be held via audio-visual technology, Vidullanka PLC has emphasized the importance of pre-registration for all entitled members wishing to participate and vote. Shareholders are required to complete and submit a pre-registration form, which can be found enclosed with the notice or accessed via the company’s official website, www.vidullanka.com.

Members entitled to attend and vote may also appoint a proxy to attend and vote on their behalf. The instrument for pre-registration and the proxy form must be completed and deposited at the company’s Registered Office or e-mailed to agm@vidullanka.com and samanga@msl.lk not less than forty-eight hours prior to the scheduled time of the meeting.
