Ceylon Tea Brokers PLC to Hold 17th Annual General Meeting Virtually on September 30th

Colombo, 31 August 2026 – Ceylon Tea Brokers PLC (CTB), a prominent player in Sri Lanka’s globally renowned tea industry, has announced that its Seventeenth (17th) Annual General Meeting (AGM) for the financial year 2025/26 will be convened on Wednesday, 30th September 2026, at 12:00 noon. The meeting will be conducted primarily via electronic means, with a physical center at the Company’s Boardroom located at No. 481, T B Jayah Mawatha, Colombo 10.

This crucial annual gathering is set to address several key corporate governance matters and provide shareholders with an overview of the company’s performance and future strategic directions. The formal notice of the AGM was issued by P W Corporate Secretarial (Pvt) Ltd, the company’s Secretaries, today.

Key Agendas for the 17th AGM

Shareholders attending the virtual AGM will deliberate on a comprehensive agenda, including:

  • Annual Report and Financial Statements: The AGM will commence with the receipt and consideration of the Board of Directors’ Annual Report on the affairs of the Company and its subsidiary, alongside the Audited Statement of Accounts for the year ended 31st March 2026, accompanied by the Auditors’ Report thereon. This is a fundamental aspect of corporate transparency, offering insights into CTB’s financial health and operational performance.
  • Director Re-elections: Ms. Habaragamuralalage Mary Sharmali Perera, who retires by rotation in accordance with Articles 87 and 88 of the Articles of Association, will be proposed for re-election as a Director of the Company.
  • Re-appointment of Senior Director: A significant resolution involves the re-appointment of Mr. Chrisantha Priyange Richard Perera, who is 82 years of age. To facilitate his continued service, an ordinary resolution will be presented to shareholders, stating: “IT IS HEREBY RESOLVED THAT the age limit stipulated in Section 210 of the Companies Act No.07 of 2007 shall not apply to Mr. Chrisantha Priyange Richard Perera who is 82 years of age and that he be and is hereby re-appointed a Director of the Company.” This move underscores the company’s intent to retain valuable experience and leadership.
  • Auditor Re-appointment and Remuneration: Messrs KPMG, Chartered Accountants, will be proposed for re-appointment as the Auditors of Ceylon Tea Brokers PLC. The Directors will also be authorized to determine their remuneration for the upcoming period.
  • Authorization for Donations: Shareholders will be asked to authorize the Directors to determine the total sum of donations for the year ending 31st March 2027 and up to the date of the subsequent Annual General Meeting.

Virtual Participation and Shareholder Engagement

In line with modern corporate practices and ensuring broad shareholder participation, the 17th AGM will be conducted virtually. Shareholders entitled to participate and vote are encouraged to do so through electronic means. For those unable to attend the virtual meeting, the company provides the option to appoint a proxy to participate and vote on their behalf. A proxy need not be a shareholder of the Company. Shareholders can also appoint the Chairman or any other Member of the Board as their proxy by submitting a duly completed Form of Proxy.
