Asia Capital PLC Schedules Virtual EGM on Sept 18th to Consider LKR 1.5 Billion Liability Reduction

Colombo, 02 September 2026 – Asia Capital PLC (CSE: ACAP) has announced that it will convene a Virtual Extraordinary General Meeting (EGM) for its shareholders on Friday, 18th September 2026, at 9:30 a.m. The pivotal meeting, which will be conducted via a digital platform, aims to seek shareholder approval for a significant financial resolution concerning a LKR 1.5 billion rebate.

Key Resolution: LKR 1.5 Billion Rebate from Fast Gain International Ltd

The core agenda item for the upcoming EGM is an Ordinary Resolution proposing the acceptance of a substantial rebate of LKR 1.5 billion. This rebate, if approved, will significantly reduce the Company’s existing liability owed to Fast Gain International Ltd. The liability in question stems from several preference facility agreements previously entered into by Asia Capital PLC.

This move is poised to strengthen Asia Capital PLC’s financial position by alleviating a considerable portion of its outstanding obligations. Shareholders will be called upon to vote for or against this resolution, which could have a material impact on the company’s balance sheet and future financial performance.

EGM Details: Virtual Format and Proxy Information

In adherence to modern corporate governance practices and to facilitate broader shareholder participation, the EGM will be held virtually. While the meeting will originate from the company’s registered office at No. 46/46, 6th Floor, Green Lanka Towers, Nawam Mawatha, Colombo 02, shareholders will participate remotely using a digital platform.

Shareholders unable to attend the virtual meeting are encouraged to appoint a proxy to represent them. The company has released a Form of Proxy detailing the process. Shareholders have the option to appoint a person of their choice, or alternatively, one of the listed company directors or officers, including Mr. Y. Kanagasabai, Mr. Raju Radha, or Mr. D. A. S. A. Abeyesinhe, among others, as their proxy.

For a proxy to be valid, the completed Form of Proxy, along with the online registration form, must be submitted either by email to enquiry@asiacapital.lk or by post to the company’s registered office. The deadline for submission is strictly before 9:00 a.m. on Thursday, 17th September 2026, which is prior to the time appointed for the holding of the EGM.
