COLOMBO, Sri Lanka – 02 September 2026 – Colombo City Holdings PLC (CSE: CCH) has officially announced that its 113th Annual General Meeting (AGM) will be held virtually on Wednesday, 23 September 2026, at 9:00 a.m. The pivotal meeting, centered at the company’s Boardroom at No. 100/1, 2nd Floor, Elvitigala Mawatha, Colombo 8, Sri Lanka, is set to address crucial financial matters, directorship changes, and a significant amendment to its Articles of Association.

The notice, issued by Nexia Corporate Consultants (Pvt) Ltd, Secretaries to the company, outlines a comprehensive agenda for shareholders. This virtual format ensures broad participation while adhering to contemporary meeting practices.

Key Resolutions and Agenda Highlights

Shareholders will be presented with a range of important resolutions, covering governance, financial oversight, and structural amendments:

  • Financial Review: The meeting will commence with the laying before shareholders of the Annual Report of the Directors and the Financial Statement of the Company for the year ended 31st March 2026, along with the Auditor’s Report thereon.
  • Director Re-election: Mr. D M Weerasekare will be proposed for re-election as a Director, retiring in terms of Article No. 24 (vi) of the Articles of Association (Resolution 1).
  • New Director Election: Mr. N Haturusinha is put forward for election as a Director, retiring in terms of Article No. 24 (ii) of the Articles of Association (Resolution 2).
  • Appointment of Senior Director: A notable resolution seeks to appoint Mr. A W Atukorala as a Director, who has reached 77 years of age. This appointment will require an ordinary resolution to bypass the age limit stipulated in Section 210 of the Companies Act No. 7 of 2007, affirming his appointment under Section 211 of the Act (Resolution 3).
  • Auditor Re-appointment: M/s. Ernst & Young, Chartered Accountants, will be proposed for re-appointment as the retiring auditors, with authorization for the Directors to determine their remuneration (Resolution 4).
  • Donations Authorization: Directors will seek authorization to determine donations for the financial year 2026/2027 (Resolution 5).
  • Amendment of Articles of Association: A special resolution will be presented to amend Article No. 24 (i) of the Company’s Articles of Association. The proposed amendment seeks to replace the existing article with a new one stating, “The number of Directors shall not be less than five (05) nor more than Eleven (11) in number” (Resolution 6). This change provides greater flexibility in the board’s composition.

Virtual Participation and Proxy Information

In line with the virtual nature of the meeting, Colombo City Holdings PLC has outlined clear guidelines for shareholder participation:

  • Shareholders entitled to attend and vote at the virtual meeting can appoint a proxy to attend and vote on their behalf electronically.
  • A proxy need not be a shareholder of the Company.
  • Those unable to participate virtually are encouraged to submit a duly completed Form of Proxy, appointing the Chairman or any other Board Member to represent them.
  • The Form of Proxy is enclosed with the official notice for this purpose.
  • Shareholders are advised to refer to the Guidelines for Registration and the Registration Form for the Annual General Meeting, which are available on the Company’s official website and the Colombo Stock Exchange (CSE) website.
