Colombo, Sri Lanka – 04 September 2026 – HIKKADUWA BEACH RESORT PLC has officially announced its Fifteenth (15th) Annual General Meeting (AGM) for the fiscal year 2025/26. The crucial meeting for shareholders is scheduled to take place on Thursday, 24 September 2026, at 10:20 a.m. In preparation for the AGM, the company has released the official Form of Proxy, enabling shareholders to exercise their voting rights even if they are unable to attend in person.
This announcement, made on 4 September 2026, is a key development for investors tracking the Colombo Stock Exchange (CSE), particularly those interested in the hospitality and tourism sector, as it outlines significant corporate governance matters for the popular Hikkaduwa-based resort.
Key Resolutions on the Agenda
The AGM will address both Ordinary and Special Business items, requiring shareholder deliberation and approval. The ordinary business includes:
- Re-election of Director: Shareholders will vote on the re-election of Mr. Sharvajana Anandaraj Ameresekere as a Director, who retires by rotation in accordance with Articles 88 and 89 of the Company’s Articles of Association.
- Re-appointment of Auditors: The re-appointment of Messrs Ernst & Young, Chartered Accountants, as the Company’s Auditors for the upcoming year will be put to a vote. Additionally, shareholders will be asked to authorise the Directors to determine their remuneration.
- Authorisation for Donations: Directors will seek authorisation to determine donations for the financial year ending 31 March 2027 and up to the date of the next Annual General Meeting.
In addition to these ordinary items, the meeting will also include a Special Business item to pass a Special Resolution as set out in item 2.1 of the Notice of Meeting, the details of which would be available in the full notice.
Exercising Your Vote Through Proxy
Recognising the importance of shareholder participation, HIKKADUWA BEACH RESORT PLC has facilitated the appointment of proxies. Shareholders who cannot attend the meeting can designate a proxy to represent them, speak, and vote on their behalf. The Form of Proxy allows shareholders to explicitly indicate their vote “For” or “Against” each resolution.
Should a shareholder choose not to appoint a specific individual or if their appointed proxy is unavailable, the company has designated several alternative proxies in a cascading order:
- Mr. S P S Ranatunga
- Mr. P C B Talwatte
- Mr. S M A De Silva Sugathapala
- Mr. R G Seneviratne
- Mr. S A Ameresekere
- Mr. P L P Withana
- Mr. P N Mahawatte
Important Submission Details for Proxy Forms
For a proxy to be valid, the completed Form of Proxy must be deposited at the Registered Office of the Company, located at No. 56/1, Kynsey Road, Colombo 08, no later than 10:20 p.m. on 22nd September 2026. Shareholders are advised to ensure all details, including their full name, National Identity Card (NIC) or Passport number, and registered address, are legibly entered and the form is duly signed and dated.
Detailed instructions for completion specify requirements for individuals and corporate bodies, including provisions for Power of Attorney and Common Seals where applicable. A key note for shareholders is that a proxy need not necessarily be a shareholder of HIKKADUWA BEACH RESORT PLC.
The upcoming AGM is a crucial event for HIKKADUWA BEACH RESORT PLC, allowing shareholders to engage directly with the company’s governance and strategic direction. All shareholders are encouraged to review the full Notice of Meeting and utilise the proxy facility if personal attendance is not possible.
