Colombo, 07 September 2026 – Kotagala Plantations PLC (KPPLC), a prominent entity listed on the Colombo Stock Exchange (CSE), has initiated a strategic amalgamation plan with its subsidiary, Rubber & Allied Products (Colombo) Limited (RAPC). The move, detailed in a circular to shareholders dated September 3, 2026, aims to streamline operations and unlock significant cost efficiencies.
The Boards of Directors of both KPPLC and RAPC passed resolutions on September 1, 2026, to proceed with the amalgamation. This corporate restructuring, subject to shareholder approval, will see RAPC cease to exist as a separate legal entity, with Kotagala Plantations PLC continuing as the surviving company.
Strategic Rationale and Shareholder Impact
KPPLC currently holds a commanding 99.999% stake in RAPC, amounting to 1,505,991 out of 1,506,000 issued shares. The primary motivations behind this amalgamation, as highlighted by both Boards, are to achieve administrative and statutory cost savings while realizing operational synergies across the combined entity.
Under the proposed Amalgamation Proposal, the few remaining minority shareholders of RAPC, who collectively hold 9 shares, will receive a cash consideration of Rs. 8.10 per share from KPPLC. Upon completion of this payment and the issuance of the Certificate of Amalgamation by the Registrar General of Companies, all RAPC shares will be cancelled, and the company will formally cease its existence.
Extraordinary General Meeting Set for September 30
To secure the necessary shareholder mandate, Kotagala Plantations PLC will convene an Extraordinary General Meeting (EGM) on 30th September 2026, at 11:45 a.m. The meeting is scheduled to be conducted virtually from Colombo, adhering to modern corporate governance practices.
