Colombo, 07 September 2026 – PMF Finance PLC has officially announced an amendment to the agenda for its upcoming Forty-second (42nd) Annual General Meeting (AGM), scheduled to be held virtually on Wednesday, September 30, 2026, at 9:00 a.m. The revised notice, released today, confirms that the meeting will take place via the Zoom virtual meeting platform, allowing shareholders to participate remotely.

The company, a prominent entity listed on the Colombo Stock Exchange (CSE), has detailed the specific purposes for which the AGM is being convened, providing clarity to its shareholders regarding key decisions and updates.

Key Agenda Points for Shareholders

The amended agenda for the 42nd AGM includes several critical items for shareholder consideration and approval:

  • Annual Report and Financial Statements: Shareholders will be presented with and asked to consider the annual report of the Board of Directors on the company’s affairs, alongside the audited financial statements for the financial year ended March 31, 2026. This will also include a statement on the audited financial statements by the Chairman of the Board Audit Committee, as per Rule 7.5(d)(ii)(A)(7) of the CSE Listing Rules.
  • Appointment of Auditors: A significant item on the agenda is the proposal to appoint M/s. Baker Tilly Edirisinghe & Co, Chartered Accountants, as the new auditors of PMF Finance PLC. They are proposed to hold office from the conclusion of this AGM until the conclusion of the next, replacing the existing auditors. The Directors will be authorized to determine their remuneration.
  • Charitable Contributions: Shareholders will also be asked to authorize the Board of Directors to determine contributions to charities for the ensuing year, reflecting the company’s commitment to corporate social responsibility.
  • Any Other Business: The meeting will also transact any other business for which due notice has been given.

Virtual Attendance and Proxy Information

In line with modern governance practices and accessibility, PMF Finance PLC emphasizes the virtual nature of the AGM. Shareholders entitled to attend and vote are also entitled to appoint a proxy to attend, vote, or speak on their behalf. A proxy need not be a shareholder of the company.

For proxy appointments, shareholders are advised to deposit a completed form of proxy at the Head Office of the Company, located at No.361, 361/1 R. A. De Mel Mawatha, Colombo 3. Alternatively, forms can be forwarded via email to pmfagm@pmf.lk. It is crucial that these forms are submitted not less than 48 hours before the time appointed for the holding of the meeting.

For any inquiries regarding the AGM, shareholders may contact Ms. Lehara Wijerathna, Assistant to the Company Secretary, on ext. 351, or Ms. Kavitha Sinnathamby, Company Secretary, on ext. 364 during office hours.

This announcement, issued by order of the Board and signed by Company Secretary Kavitha Sinnathamby, ensures that PMF Finance PLC maintains transparency and facilitates shareholder participation in critical corporate decisions.
