COLOMBO, 09 September 2026 – Kerner Haus Global Solutions PLC (KHGS) is set to undertake significant financial and strategic maneuvers, with the company announcing an Extraordinary General Meeting (EGM) to seek shareholder approval for a substantial Rights Issue of shares and a major transaction involving the acquisition of strategic real estate assets. The EGM is scheduled as a fully virtual meeting on Friday, 2 October 2026, at 10:30 a.m. Shareholders will convene to consider two pivotal resolutions that could redefine KHGS’s financial structure and operational footprint.
Details of the Proposed Rights Issue
The first resolution seeks shareholder endorsement for a Rights Issue of ordinary voting shares. Under this proposal, Kerner Haus Global Solutions PLC intends to issue up to 10,502,975 new ordinary voting shares. Each new share will be priced at an attractive LKR 40/-, a valuation deemed fair and reasonable by the Board of Directors for both the company and its existing shareholders.
The Rights Issue will be offered to registered ordinary voting shareholders as at the end of trading on the Record Date/Date of Entitlement, which is set as the second market day from and excluding the EGM date. Shareholders will be entitled to subscribe for one (01) new ordinary voting share for every four (04) existing ordinary voting shares they currently hold.
The company has also outlined provisions for fractional shares, which will be pooled and made available for allotment to existing shareholders applying for additional rights shares. Furthermore, any unsubscribed shares will first be offered to applicants of additional rights. Should any shares remain, the Board of Directors retains the discretion to allot them on a preferential basis to the major shareholder (while ensuring compliance with CSE public holding rules) or to other existing shareholders on a fair and reasonable basis to ensure full subscription. Upon due subscription and payment, these new ordinary voting shares will rank equally (pari passu) in all respects with the company’s existing issued and fully paid shares, contributing to an increase in the Stated Capital.
Strategic Major Transaction for Real Estate Expansion
The second resolution, proposed as a Special Resolution, pertains to a major transaction focused on the acquisition of strategic real estate assets and properties on a leasehold basis. This move is presented as a cornerstone of the company’s growth strategy and investment objectives.
Subject to the Companies Act No. 07 of 2007, Colombo Stock Exchange Listing Rules, and other applicable regulations, shareholders will be asked to grant approval for KHGS to undertake these significant real estate ventures. The Board of Directors will be authorized to identify, evaluate, negotiate, approve, and complete such acquisitions and/or lease arrangements. These transactions may occur through one or more deals, on terms and conditions the Board deems to be in the best interests of the company.
