COLOMBO, 14 September 2026 – Renuka Agri Foods PLC (RAF) has issued an errata notice, dated 11 September 2026, providing crucial amendments to its previously published Notice of Meeting and Circular to Shareholders concerning the first and final dividend for the financial year ended 31 March 2026. The updated documents aim to ensure clarity and accuracy for shareholders ahead of the company’s upcoming Annual General Meeting (AGM).
The initial Notice of Meeting and Circular, both dated 28 August 2026, were part of the Company’s Annual Report for the financial year ended 31 March 2026, which was published on 1 September 2026. The subsequent errata highlights specific adjustments made to these documents, which are now superseded by the newly attached versions.
Key Revisions for Shareholders
The amended documents provide detailed clarifications on several critical aspects, particularly regarding the proposed scrip dividend and the mechanics of its distribution. Shareholders are strongly advised to review these updated notices in conjunction with the Annual Report.
Annual General Meeting Details
- The 27th Annual General Meeting (AGM) of Renuka Agri Foods PLC is scheduled to be held virtually on Thursday, 24 September 2026, at 3:00 p.m.
First and Final Scrip Dividend for 2026
The core of the amendments revolves around the declaration and satisfaction of the first and final scrip dividend:
- A first and final scrip dividend of Rs. 0.10 per share has been recommended by the Board of Directors.
- This dividend is proposed to be satisfied by the allotment and issue of 6,117,161 new fully paid ordinary shares.
- The total sum constituting this dividend is Rs. 67,900,490.92, based on the issued ordinary shares as at 25 August 2026.
Eligibility and Record Date
Shareholders eligible for the dividend, termed ‘Entitled Shareholders’, are those whose names appear on the Company’s Share Register or the Central Depository Systems (Pvt) Ltd. (‘CDS’) at the end of trading on the Record Date – 28 September 2026. This date is specified as the second market day from and excluding the date of the AGM.
Share Conversion Ratio and Residual Fractions
The distribution scheme specifies the following ratio for the allotment of new shares:
- 1 new fully paid ordinary share for every 130.58824265 existing issued and fully paid ordinary shares. This ratio is calculated based on the market value (closing price) of ordinary shares as at the end of trading on 25 August 2026.
- Significantly, any residual fractions of shares arising from this allotment will be aggregated and allotted to trustees nominated by the Board. These shares will then be sold, and the net sale proceeds will be distributed to a charity or charities approved by the Board of Directors.
Status of New Shares and Listing
The errata confirms that the new ordinary shares issued in satisfaction of the dividend will rank equally and pari passu in all respects with the existing issued and fully paid ordinary shares of the Company. This includes the entitlement to participate in any dividend declared after their allotment. Renuka Agri Foods PLC has also obtained “in principle” approval from the Colombo Stock Exchange (CSE) for the listing of these new ordinary shares.
Important Note for Scrip Holders
In line with Securities and Exchange Commission of Sri Lanka (SEC) and CDS directives on dematerialization, shareholders currently holding shares in scrip form (physical share certificates) will not be issued new share certificates for the allotted shares. Such shareholders are urged to open a CDS account and deposit their existing share certificates into the CDS prior to the AGM date to facilitate direct crediting of new shares to their accounts. Shares for CDS account holders will be uploaded within five market days from the Record Date.
The Board of Directors has confirmed that the Company is confident in satisfying the solvency test as per Section 57 of the Companies Act No. 07 of 2007, with a Certificate of Solvency received from its Auditors, Messrs. KPMG Chartered Accountants.
Shareholders are required to approve the proposed method of satisfying the dividend by an allotment and issue of new ordinary shares through resolutions set out in the attached Notice of Meeting.
