RENUKA AGRI FOODS PLC Issues Errata to Annual Report, Amending AGM Notice and Scrip Dividend Circular

Colombo, Sri Lanka – 14 September 2026 – RENUKA AGRI FOODS PLC (CSE: RAL) today announced the issuance of an errata to its Annual Report for the financial year ended 31st March 2026. The errata specifically amends the Notice of Meeting and the Circular to Shareholders concerning the proposed first and final dividend for 2026.

The company informed the Colombo Stock Exchange (CSE) that subsequent to the publication of the Annual Report on 1st September 2026, which included the original Notice of Meeting and Circular to Shareholders both dated 28th August 2026, certain amendments became necessary. The updated documents, including the amended Notice of Meeting, proxy form, and Circular to Shareholders, are now available and are intended to be read in conjunction with the full Annual Report.

Key Amendments and AGM Details

The amended documents provide crucial updates regarding the company’s upcoming 27th Annual General Meeting (AGM) and the proposed scrip dividend:

  • Virtual AGM: The 27th Annual General Meeting of Renuka Agri Foods PLC will be held virtually on Thursday, 24th September 2026, at 3:00 p.m.
  • Scrip Dividend Declaration: The Board of Directors has recommended a first and final scrip dividend of Rs. 0.10 per share for the financial year ended 31st March 2026. This dividend, subject to shareholder approval, will be satisfied by the allotment and issue of new ordinary shares.
  • Dividend Mechanics: A total of 6,117,161 new ordinary shares, amounting to Rs. 67,900,490.92, will be issued to satisfy the dividend. The distribution will be based on a ratio of 1 new fully paid ordinary share for every 130.58824265 existing issued and fully paid ordinary shares. This calculation is based on the market value (closing price) of ordinary shares as at 25th August 2026.
  • Record Date: The entitlement to this scrip dividend will be for shareholders whose names appear on the Central Depository Systems (Pvt) Ltd. (CDS) or the company’s share register as at the end of trading on the Record Date – 28th September 2026. This date is the second market day from and excluding the date of the AGM.
  • Residual Fractions: Any residual fractions of shares arising from the allotment will be aggregated, allotted to trustees nominated by the Board, sold, and the net proceeds distributed to a charity/charities approved by the Board of Directors.
  • New Share Status: The newly issued ordinary shares will rank equally (pari passu) in all respects with the existing issued and fully paid ordinary shares of the company, including the right to participate in any dividends declared after their allotment.
  • CSE Listing: Renuka Agri Foods PLC has already secured an “approval in principle” from the Colombo Stock Exchange (CSE) for the listing of these new ordinary shares.

Shareholder Engagement and Compliance

Shareholders are urged to review the amended documents carefully, particularly concerning the resolutions to be passed at the AGM for the approval of this scrip dividend. The company also reiterates the importance of shareholders holding shares in scrip form to open an account with the CDS and deposit their share certificates prior to the AGM date. This will facilitate the direct uploading of new shares into their CDS accounts.

The Board of Directors has confirmed that the allotment and issue of new ordinary shares comply with the Company’s Articles of Association, the CSE Listing Rules, and the provisions of the Companies Act No. 7 of 2007. A Certificate of Solvency has been obtained from the company’s auditors, Messrs KPMG, Chartered Accountants.

Other Business at the AGM

Beyond the dividend declaration, the AGM agenda includes the re-election of Mr. M.R. Ratnasabapathy and Mr. A.M. P. C.K. Abeykoon as Directors retiring by rotation. Dr. S.R. Rajiyah and Mrs. I.R. Rajiyah are proposed for re-appointment as Directors under Section 211 of the Companies Act, with a special declaration regarding the age limit. The re-appointment of Messrs. KPMG Chartered Accountants as auditors for the financial year ending 31st March 2027 and the authorization for the Board to determine their remuneration and donations for 2027 are also on the agenda.

Shareholders unable to attend the virtual AGM may appoint a proxy. Completed proxy forms must be submitted to the Company Secretary at Renuka House, No. 69, Sri Jinaratana Road, Colombo 02, not later than 3:00 p.m. on 22nd September 2026.
