RENUKA FOODS PLC Issues Amended AGM Notice and Dividend Circular, Clarifying 2026 Payouts

Colombo, Sri Lanka – 14 September 2026 – Renuka Foods PLC (CSE: RFL) has released an errata to its previously circulated Notice of Meeting, Proxy form, and the Circular to Shareholders concerning the first and final dividend for the financial year ended 31st March 2026. The announcement, dated 11th September 2026, indicates that amendments have been made to the documents initially published with the company’s Annual Report for 2026.

Shareholders are advised to refer to the amended Notice of Meeting, Proxy, and Circular, which provide updated details regarding the upcoming Thirty Sixth (36th) Annual General Meeting (AGM) and the proposed dividend distribution.

Revised Dividend Proposal for 2026

The amended circular details a comprehensive first and final dividend strategy for the year ended 31st March 2026, comprising both a scrip dividend and a cash dividend. Subject to shareholder approval at the forthcoming AGM, the distribution scheme is as follows:

  • Scrip Dividend: A scrip dividend of Rs. 0.09 per Ordinary voting share and Rs. 0.09 per Ordinary non-voting share. This will be satisfied by the allotment and issue of new ordinary shares.
  • Cash Dividend: A cash dividend of Rs. 0.10 per Ordinary voting share and Rs. 0.10 per Ordinary non-voting share. This will be paid out of the company’s profits, subject to applicable government taxes.

The total number of new shares to be issued under the scrip dividend scheme will be 1,222,677 new ordinary voting shares and 58,715 new ordinary non-voting shares. These are calculated based on the market value (closing price) of the shares as at the end of trading on 25th August 2026.

The ratios for the scrip dividend allotment are:

  • 1 new fully paid ordinary voting share for every 294.44459493 existing issued and fully paid voting ordinary shares.
  • 1 new fully paid ordinary non-voting share for every 248.89040279 existing issued and fully paid non-voting ordinary shares.

The total cash distribution will amount to Rs. 36,001,063.40 for voting shares and Rs. 1,461,360 for non-voting shares.

Key Dates and Shareholder Information

The Record Date for determining entitled shareholders for the dividend is set for 28th September 2026. This falls on the second market day from and excluding the date of the AGM. The new shares issued under the scrip dividend will rank equally (pari passu) with existing ordinary shares and will be listed on the Colombo Stock Exchange (CSE), for which in-principle approval was granted on 7th September 2026.

Any residual share fractions arising from the scrip dividend allotment will be aggregated, sold by nominated trustees, and the net proceeds will be distributed to a charity or charities approved by the Board of Directors.

Annual General Meeting Details

The Thirty Sixth (36th) Annual General Meeting (AGM) of Renuka Foods PLC will be held virtually on Thursday, 24th September 2026, at 3:30 p.m. Shareholders will consider and vote on several resolutions, including the approval of the Annual Report, the proposed dividend structure, re-election of directors, and re-appointment of auditors.
