Colombo, Sri Lanka – September 15, 2026 – RENUKA HOLDINGS PLC (CSE: RHL) has announced its recommendation for a first and final dividend for the financial year ended March 31, 2026, to be satisfied by the allotment and issue of new ordinary shares. The Board of Directors, through a circular resolution dated August 29, 2026, has proposed a scrip dividend of Rs. 0.212 per voting and non-voting Ordinary share, pending shareholder approval at the upcoming Annual General Meeting (AGM).

Key Dividend Details and Upcoming AGM

The proposed scrip dividend will amount to Rs. 0.212 per voting and non-voting ordinary share for the financial year concluded on March 31, 2026. This significant announcement will be deliberated and voted upon by shareholders at a virtual Annual General Meeting scheduled for September 24, 2026, at 4:15 p.m.

Shareholders entitled to this dividend are those registered in the Company’s Share Register or whose names appear on the Central Depository Systems (Pvt) Ltd (CDS) as at the end of trading on the Record Date, which is set for September 28, 2026.

Share Allotment Ratios and Volumes

Subject to shareholder approval, the new shares will be issued based on the market value (closing price) of ordinary shares as at the end of trading on August 25, 2026. The allotment ratios are as follows:

  • Voting Shares: 1 new fully paid ordinary voting share for every 209.90580966 existing issued and fully paid ordinary voting shares.
  • Non-Voting Shares: 1 new fully paid ordinary non-voting share for every 150.94376185 existing issued and fully paid ordinary non-voting shares.

In total, the company proposes to issue 788,393 new voting ordinary shares and 160,336 new non-voting ordinary shares. This will satisfy a total dividend entitlement of Rs. 35,083,513.45 for voting shares and Rs. 5,130,764.43 for non-voting shares, based on the shares issued and fully paid as at March 31, 2026.

Ensuring Compliance and Solvency

The Board of Directors has expressed confidence in the company’s ability to satisfy the solvency test mandated by Section 57 of the Companies Act No. 07 of 2007 (as amended) immediately after the dividend allotment. A Certificate of Solvency has been duly issued by the Company’s Auditors, Messrs KPMG, Chartered Accountants.

Furthermore, RENUKA HOLDINGS PLC has obtained “in principle” approval from the Colombo Stock Exchange (CSE) for the proposed allotment and issue of these new shares, ensuring compliance with listing rules and regulatory frameworks.

Important Information for Shareholders

New ordinary voting and non-voting shares, once allotted and issued, will rank equally (pari passu) in all respects with the existing issued and fully paid ordinary shares of the Company.

Shareholders holding shares in scrip form (physical share certificates) are strongly encouraged to open an account with the CDS and deposit their existing share certificates prior to the AGM on September 24, 2026. This will facilitate the direct upload of new shares into their CDS accounts within five market days from the Record Date (September 28, 2026). For shareholders with multiple CDS accounts, the total entitlement will be proportionally deposited into each respective account.

Residual fractions of shares arising from the allotment will be aggregated, sold, and the net proceeds distributed to a charity or charities approved by the Board of Directors.

The company underscores that the allotment and issue of new shares are contingent upon shareholders passing the necessary resolutions at the forthcoming AGM. Shareholders unable to attend the virtual meeting are entitled to appoint a proxy.
