The announcement, made public today, details the resignation of one director and the subsequent appointment of new members, which has led to a comprehensive reconstitution of the company’s key board sub-committees.
Leadership Transition: R.J.A.M.S. Arshan Takes the Helm as Chairman
A significant highlight of the announcement is the appointment of Mr. R.J.A.M.S. Arshan as the new Chairman of the Board of Directors. Mr. Arshan joins the board as an Independent Non-Executive Director with effect from 16th September 2026, and concurrently assumes the chairman’s role, as resolved by the Board on 17th September 2026.
New Independent Non-Executive Directors Appointed
In a move to strengthen its independent oversight, Blue Diamonds Jewellery Worldwide PLC has appointed two additional Independent Non-Executive Directors to its Board. Alongside Mr. R.J.A.M.S. Arshan, Mr. Sivakumar Ramabhadra and Mr. Balachandran Niransan have also been appointed as Independent Non-Executive Directors, effective 16th September 2026. Their appointments were acknowledged, accepted, and resolved by the Board on 17th September 2026.
The company confirmed that all new appointees have successfully met the “Fit and Proper Assessment Criteria” as stipulated under Section 9.7 of the Listing Rules of the Colombo Stock Exchange (CSE), ensuring adherence to the highest standards of corporate governance. It was noted that, as of 17th September 2026, none of the newly appointed directors hold any shares in the company.
Resignation of Mr. Harsha Prageeth Perera
The changes follow the resignation of Mr. Harsha Prageeth Perera, who served as an Independent Non-Executive Director. His resignation was effective 13th August 2026, and formally acknowledged and accepted by the Board on 17th September 2026. Mr. Perera did not hold any shares in Blue Diamonds Jewellery Worldwide PLC as of 17th September 2026.
